This **Non-Disclosure Agreement (NDA)**, **Service Agreement**, and **Memorandum of Understanding (MOU)** set out the professional and legal terms between Study For Next ("We", "Us") and any User, Client, Student, or Partner ("You").
By accessing our services, submitting a project, or entering into partnership discussions, you agree to the terms outlined below.
🔐 Non-Disclosure Agreement (NDA)
1. Definition of Confidential Information
“Confidential Information” includes (but is not limited to):
- 🧩 Project ideas, documentation, and strategies
- 💻 Source code, software, models, scripts
- 📑 Presentations, drawings, or design files
- 📚 Educational content, notes, or training material
- 📧 Any shared communication marked confidential
2. Purpose of Disclosure
Information is shared solely for the execution of educational or technical services. Neither party may reuse or redistribute any part of the content for personal gain or competition.
3. Confidentiality Obligations
- ✅ Keep shared data confidential
- ✅ Use it only for the intended project
- ✅ Do not disclose to third parties
- ✅ Apply proper digital/physical security
- ✅ Return or destroy information after completion
4. Exclusions
This agreement does not apply to information that is:
- 🔓 Publicly available
- 🧠 Independently developed without reference
- ⚖️ Required to be disclosed by law (with notice)
5. Ownership of Information
All intellectual property and confidential data remain the sole property of the disclosing party. No transfer of IP rights is implied by this agreement.
6. Validity & Duration
- This NDA is valid throughout the project duration
- Plus 2 years after the final communication or completion
- Termination may be requested, but confidentiality remains enforced
⚠️ 7. Breach & Legal Action
Unauthorized use or disclosure may result in:
- ❌ Suspension of services
- 🧑⚖️ Legal proceedings under Indian IT Act 2000 and IP laws
Note: Both parties acknowledge that a breach may cause irreparable harm and agree to potential injunctive relief.
8. Return or Destruction
All confidential material must be returned or deleted once the project concludes, unless required by law for audit or compliance purposes.
9. Jurisdiction & Law
This agreement is governed by the laws of India. Any disputes shall be resolved in courts of Lucknow, Uttar Pradesh.

📃 Service Agreement
1. Scope of Work
Services include tutoring, mentoring, project development, and academic support as mutually agreed via email or written message.
2. Client Responsibilities
- Provide all necessary material and briefings
- Give timely responses and approvals
- Respect agreed deadlines and payment terms
3. Payment Terms
Fees will be communicated prior to starting the project. Delayed payment may result in late fees or suspension.
4. Cancellation & Refunds
Clients may cancel anytime with written notice. Refunds are subject to work completed.
🤝 Memorandum of Understanding (MOU) – Partnership
1. Purpose
To establish academic, educational, or entrepreneurial collaboration between Study For Next and other individuals, organizations, or institutions.
2. Roles
Each party will have clear roles and responsibilities, defined later in a separate partnership agreement.
3. Resource Sharing
Each party may contribute content, tools, audience, or expertise for mutual benefit.
4. Confidentiality
This MOU is also covered under the NDA section outlined above.
5. Duration
This MOU is non-binding and serves as a foundation for future formal agreements.
